Corporate Paralegal

Corporate Paralegal- Downtown Houston Area

A prestigious international law firm operating in over 20 cities is seeking a Corporate Paralegal to add to their team. Candidates must have a minimum of 3+ years of relevant experience within a law firm setting.
This position offers benefits and a great work environment as well as paid parking. This position is 100% in the office. Duties include:

  • State Filings:

    • Form, register, and qualify new entities in all 50 states.

    • Prepare and maintain original stock certificates.

    • Draft and file corporate restructuring documents (e.g., conversions, mergers) across all 50 states and with the SEC.

    • Obtain certifications such as good standings and certified charters across all states.

    • Prepare and file documents to dissolve or cancel entities, including related tax filings.

  • SEC Matters:

    • Obtain and maintain clients' EDGAR filing codes.

    • Prepare and submit SEC filings (e.g., Form Ds) on behalf of clients.

    • Conduct research on company filings and disclosures using Intelligize.

    • Retrieve filed documents for SEC-registered public companies.

  • FINRA Matters:

    • Maintain access to the FINRA Gateway.

    • Manage FINRA accounts.

    • File documents related to public securities offerings with FINRA.

  • IRS Matters:

    • Apply for, obtain, and maintain client Employer Identification Numbers (EINs).

  • Corporate Transparency Act (CTA):

    • Maintain working knowledge of the CTA, following firm guidelines for client services related to the Act.

  • Training:

    • Actively participate in firm and team training opportunities.

  • Accountability:

    • Meet billable hour and timekeeping expectations.

    • Proactively secure billable work, potentially across different teams and offices.

    • Maintain accurate and current time logs in firm systems.

    • Ensure full-day productivity is accounted for.

  • Special Projects:

    • Perform other tasks and special projects as assigned.
