Job Title: Senior Corporate Paralegal

Location: Silicon Valley / New York City / San Francisco / Santa Monica / Seattle (any of one of the firm's major locations)

Schedule: Hybrid – 3 days onsite per week

Compensation: $120,000 – $180,000 (Based on experience)

Overview:

Trustpoint.One is assisting a major Am Law 200 client in their search for a Senior Corporate Paralegal with extensive experience supporting startup companies and handling high-level corporate transactions. The ideal candidate will bring deep knowledge of venture capital financing, corporate governance, and capital markets—with a particular focus on technology and life sciences clients . This role offers the opportunity to work in a fast-paced, collaborative legal environment supporting emerging companies through their full lifecycle.

Key Responsibilities:

• Incorporate and organize tech and life sciences startups
• Maintain corporate records and manage ongoing compliance
• Implement and administer stock option plans
• Support venture capital financings and M&A transactions
• Assist with capital markets work and SEC filings as needed
• Manage cap tables and related records using platforms such as Carta and ShareWorks
• Prepare and maintain Excel spreadsheets and legal documentation
• Coordinate with attorneys and stakeholders across multiple time zones

Requirements:

• 5+ years of corporate and transactional legal experience
• Demonstrated experience working with Cap Table Management is a MUST
• Deep understanding of venture capital structures and financing rounds
• Strong experience with Carta, ShareWorks , or similar platforms
• Exceptional communication, research, and organizational skills
• Ability to multitask and manage competing priorities in a deadline-driven environment
• Substantial experience using Excel for cap tables, equity tracking, and other legal work
• Bachelor’s degree and/or a Paralegal Certificate from an ABA-approved program
• Prior experience working in a large law firm or corporate legal department preferred
